The platform allows willing individuals ("Investors") to discover and invest in these Offerings. It also includes social features for public due diligence, Q&A sessions, and a community-driven reputation system ("Flags").
1.2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts in your jurisdiction to use our Service. You are responsible for ensuring your use of the Service complies with all local, state, national, and international laws, including securities regulations.
1.3. For Founders (Raising Capital)
- Accuracy of Information: You are legally responsible for the accuracy, completeness, and truthfulness of all information provided in your Offering. Misleading information is fraudulent and may lead to severe legal consequences.
- Legal Compliance: You are solely responsible for ensuring your Offering complies with all applicable securities laws and regulations in your jurisdiction and in the jurisdictions of your Investors. IPOGRAM TECHNOLOGY LTD does not verify the legal compliance of any Offering.
- No Endorsement: A listing on ipogram does not constitute an endorsement, verification, or recommendation by IPOGRAM TECHNOLOGY LTD.
1.4. For Investors
- High Risk: You acknowledge that investing in early-stage ventures is highly speculative and involves substantial risk. You may lose your entire investment and should be prepared to bear such a loss.
- Due Diligence: You are solely responsible for conducting your own legal, financial, and business due diligence on any Offering. The tools provided on ipogram, such as Q&A and Flags, are for informational purposes only and are not a substitute for professional advice.
- No Advice Provided: IPOGRAM TECHNOLOGY LTD does not offer investment advice or recommendations. We are not your fiduciary.
1.5. User-Generated Content and Conduct
You are responsible for all content you post, including questions, answers, comments, and Flags. Your content must comply with our Community Guidelines (Section 3). We reserve the right, but not the obligation, to monitor and remove any content that violates our policies.
1.6. Prohibited Activities
You agree not to engage in any of the following:
- Fraud, misrepresentation, or any deceptive practices.
- Violating any applicable laws, including securities, financial, and data privacy laws.
- Harassment, abuse, hate speech, or discrimination.
- Infringing on any intellectual property rights.
- Distributing spam, viruses, or other malicious code.
- Manipulating the Flag system or any other social feature.
1.7. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. IPOGRAM TECHNOLOGY LTD, ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR INVESTMENT CAPITAL, RESULTING FROM YOUR USE OF THE SERVICE.
1.8. Indemnification
You agree to indemnify and hold harmless IPOGRAM TECHNOLOGY LTD from any claims, damages, losses, and expenses (including legal fees) arising out of your use of the Service, your violation of these policies, or your violation of any law or the rights of a third party.
1.9. Governing Law and Dispute Resolution
These policies shall be governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this agreement will first be attempted to be resolved through amicable negotiation. If unresolved, disputes shall be submitted to binding arbitration in Abuja, Nigeria.

Whether you are a Founder or an Investor, provide accurate and truthful information. Do not misrepresent yourself, your business, or your intentions.
3.2. Use the Flag System Responsibly
The Red and Green Flag system is designed to be a constructive reputation tool.
- Green Flags: Raise a green flag to highlight positive, verifiable actions or milestones. Explain your reasoning clearly.
- Red Flags: Raise a red flag to alert the community to potential issues. Your concern must be based on factual information or a direct, verifiable experience. Do not use red flags for personal disputes, rumors, or to maliciously harm another user's reputation.
- Abuse: Abusing the flag system to manipulate perception will result in account suspension.
3.3. Conduct Constructive Due Diligence
The public Q&A feature is for constructive dialogue. Ask thoughtful questions. Provide clear answers. Personal attacks, harassment, and trolling are strictly prohibited.
3.4. Respect Others
We have a zero-tolerance policy for hate speech, discrimination, harassment, and threats. Treat everyone in the community with respect.
3.5. Enforcement
Violations of these guidelines may result in content removal, a temporary suspension, or a permanent ban from ipogram.
